Terms of Service

These Terms govern your use of Minute Left (the “App”), a macOS application provided by Roman Melnychuk (Roman Vasylovych Melnychuk), an individual entrepreneur (sole proprietor) registered in Ukraine (“we”, “us”, “our”). By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App. Please also read our Privacy Policy and Refund Policy, which form part of these Terms.

1. The product

Minute Left is a macOS menu-bar app that shows on-screen reminders before your calendar meetings and offers a one-click button to join them. It requires macOS 14 or later, read access to your macOS Calendar, and an email address to run the trial and license. It is distributed outside the Mac App Store, signed with an Apple Developer ID and notarized by Apple.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to purchase a license. By using the App you confirm that you meet these requirements.

3. License grant

On purchase, we grant you a personal, non-exclusive, non-transferable, perpetual license to use the App on Macs that you own or control. You may not resell, redistribute, sublicense, rent, or reverse-engineer the App, or remove its notices, except to the extent this restriction is prohibited by applicable law. The license belongs to the email address used at purchase, so you can restore it on a new Mac by entering the same email.

4. Free trial

The App includes a 7-day free trial that begins when you submit your email. No payment or card is required for the trial. The trial start is recorded per installation on our server, so reinstalling does not reset it for the same installation. We may modify or discontinue the trial for future users. After the trial, the full functionality requires a one-time purchase.

5. Price & payment

The App is a one-time purchase (currently US$15) — not a subscription; there are no recurring charges or automatic renewals. The price shown at checkout is the total you pay; applicable VAT or sales tax is calculated and shown by our payment provider.

Our order process and payments are handled by Paddle (Paddle.com Market Ltd), which acts as the Merchant of Record and is the seller of record for your purchase. Paddle handles billing, payment processing, taxes, invoicing, and receipts. By completing a purchase you also agree to Paddle’s buyer terms. We may change prices for future purchases; changes do not affect a license you have already bought.

6. Geographic availability

Minute Left is offered to users in the United States and other regions outside the European Economic Area (EEA) and the United Kingdom. The App is not offered to, or directed at, individuals located in the EEA or the UK, and we use country-level access controls to restrict access from those regions. By purchasing or using the App you confirm you are not located in the EEA or the UK.

7. Refunds

Refunds are handled in accordance with our Refund Policy.

8. Acceptable use

You agree to use the App only for lawful purposes and not to interfere with, probe, or attempt to bypass its licensing or security, overload our backend, or use the App in a way that infringes others’ rights. We may suspend access for breach of these Terms.

9. Updates & changes to the App

The App can check for and install signed updates automatically (see the Privacy Policy). We may add, change, or remove features over time. We are not obligated to provide updates indefinitely, except as promised at the time of your purchase.

10. Disclaimer of warranties

Except for warranties that cannot be excluded under applicable law (including mandatory consumer guarantees), the App is provided “as is” and “as available”, without warranties of any kind. Minute Left assists with reminders but does not guarantee that you will attend or join any meeting; it depends on your calendar data, macOS, and your device working correctly.

11. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the App is limited to the amount you paid for your license. We are not liable for indirect, incidental, special, or consequential damages, or for missed meetings or any reliance on the App.

Nothing in these Terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, fraud, or any mandatory rights you have as a consumer. If you are a consumer, you keep all rights granted to you by the consumer-protection laws of your country of residence, and those rights are not affected by these Terms.

12. Termination & revocation

We may suspend or revoke a license in case of a refund, chargeback, or material breach of these Terms. On revocation, the App returns to its locked state at its next entitlement check. You may stop using and delete the App at any time.

13. Governing law & consumer rights

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. However, if you are a consumer, this choice of law does not deprive you of the protection of the mandatory consumer-protection laws of the country where you live, and you may bring proceedings in your local courts where the law gives you that right. We prefer to resolve any issue directly — please email us first.

14. Changes to these Terms

We may update these Terms from time to time. We will change the “Last updated” date above and, for material changes, take reasonable steps to notify you. Continued use of the App after a change means you accept the updated Terms.
